These Terms of Use ("Terms") govern your access to and use of the ShedAdmin platform and related services. By creating an account, accessing ShedAdmin or using the platform, you agree to these Terms. If you are using ShedAdmin on behalf of a business, you confirm that you have authority to accept these Terms on behalf of that business.

1. About ShedAdmin

ShedAdmin is a software platform designed to help shed businesses manage their day-to-day operations, including customers, projects, quoting, suppliers, documents, scheduling and other business workflows.

ShedAdmin is provided as a software service and is not a substitute for your own business judgement, professional advice, accounting systems, legal advice or compliance obligations.

2. Beta program

ShedAdmin is currently operating as a beta product.

During the beta period, features, functionality, workflows and integrations may continue to change as we develop and improve the platform.

Beta customers may provide feedback about the platform, including suggestions for features, workflows and improvements.

We will consider beta feedback as part of our product development process, but we cannot guarantee that a particular feature or request will be implemented.

3. Accounts and authorised users

You are responsible for:

  • providing accurate account information;
  • keeping your login credentials secure;
  • ensuring that only authorised users access your account;
  • managing user permissions appropriately; and
  • notifying us if you become aware of unauthorised access.

You are responsible for activity carried out through your account by your authorised users.

4. Onboarding

Every new ShedAdmin account begins with a tailored onboarding process.

Depending on your business requirements, onboarding may include:

  • configuring selected ShedAdmin modules;
  • setting up users and permissions;
  • importing existing customers;
  • importing suppliers and projects;
  • loading product or pricing lists;
  • configuring workflows;
  • organising existing business information; and
  • helping your team prepare to use ShedAdmin.

The scope, cost and estimated timeframe of onboarding will be discussed with you before onboarding work begins.

5. Onboarding fees

Onboarding is priced separately from the ongoing ShedAdmin subscription.

The onboarding cost is based on the amount of setup, configuration, data migration and assistance your business requires.

A smaller business may require a relatively straightforward setup, while a larger or more complex business may require additional configuration, data preparation or staff assistance.

We will provide an onboarding proposal before work begins.

6. First two months of access

Your first two months of ShedAdmin access are included as part of your tailored onboarding package.

This period is intended to allow your team to become familiar with the platform, verify imported information and begin using ShedAdmin in day-to-day operations.

The first two months are therefore part of the onboarding package and should not be interpreted as a separate free subscription period.

7. Ongoing subscription

During the beta program, the current preferred beta-member subscription rate is:

$330 per month, including GST.

The subscription rate applies from the commencement of the ongoing subscription period following the two months of access included with onboarding, unless otherwise agreed in writing.

The modules, users and services included in your subscription will be confirmed as part of your onboarding and subscription arrangement.

Beta pricing may differ from pricing introduced after the beta program.

8. Modular services

ShedAdmin is designed as a modular platform.

Depending on your business requirements, you may use modules such as:

  • CRM and customer management;
  • projects;
  • quoting;
  • suppliers;
  • document management; and
  • other modules introduced by ShedAdmin.

The availability and pricing of particular modules, users or services may vary.

Any material changes to your agreed subscription will be communicated in accordance with the applicable agreement.

9. Your business data

You retain ownership of the business information and content that you upload to ShedAdmin.

You grant ShedAdmin the permission reasonably required to host, process, transmit, back up and otherwise handle that information for the purpose of providing the services.

You are responsible for:

  • the accuracy of your information;
  • ensuring you have the necessary rights to use and provide that information;
  • maintaining appropriate records;
  • determining what information should be entered into ShedAdmin; and
  • maintaining any legally required copies of your business records.

10. Data migration

Where ShedAdmin assists with importing existing information, you acknowledge that source data may contain errors, inconsistencies, duplicates, missing information or formatting issues.

We will take reasonable care when performing agreed data migration work.

However, you remain responsible for reviewing and confirming the accuracy and completeness of imported information.

11. Acceptable use

You must not use ShedAdmin:

  • for unlawful purposes;
  • to attempt to gain unauthorised access to the platform or another customer's account;
  • to interfere with the operation or security of the platform;
  • to upload malicious code or harmful software;
  • to abuse or disrupt the service;
  • to access information belonging to another customer without authorisation; or
  • in a way that materially compromises the security or availability of ShedAdmin.

12. Service availability

We will take reasonable steps to keep ShedAdmin available and operational.

However, availability may be affected by:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates;
  • third-party services;
  • internet or telecommunications failures;
  • security incidents;
  • events outside our reasonable control; or
  • other technical circumstances.

We will endeavour to communicate significant planned interruptions where reasonably practical.

13. Beta features and changes

Because ShedAdmin is in beta, features may be added, modified, replaced or discontinued.

We will endeavour to avoid changes that materially prevent you from using the core services you have agreed to receive.

Where a material change affects your agreed services, we will provide reasonable notice where practical.

14. Support

Beta customers will have access to ShedAdmin support through the channels made available to them.

Support may include assistance with:

  • using ShedAdmin;
  • onboarding;
  • configuration;
  • troubleshooting; and
  • understanding available features.

Support does not include providing legal, accounting, financial, building or other professional advice.

15. Payments

Subscription and onboarding fees are payable according to the payment terms agreed with your business.

The current beta subscription rate is $330 per month including GST, unless a different rate has been agreed with you in writing.

If a payment is overdue, we may contact you to arrange payment and, where reasonably necessary, restrict access until outstanding amounts are resolved.

Any suspension or other action will be applied reasonably and in accordance with applicable law and your agreement with us.

16. Cancellation

Unless a separate written agreement states otherwise, either party may end the ongoing subscription by providing reasonable notice.

If your subscription ends, you may no longer have access to the ShedAdmin platform after the applicable termination date.

We will provide a reasonable opportunity for you to request or export your business data, subject to any applicable legal requirements and the technical capabilities of the platform.

Any outstanding fees for services already provided remain payable.

17. Suspension

We may temporarily suspend access where reasonably necessary to:

  • protect the security of ShedAdmin;
  • prevent unauthorised access;
  • address serious misuse;
  • comply with legal requirements;
  • address non-payment; or
  • protect the platform, our customers or third parties from material harm.

Where practical, we will notify you before or during a suspension and work with you to restore access once the relevant issue has been addressed.

18. Intellectual property

ShedAdmin and its underlying software, design, features, branding, documentation and technology remain the property of ShedAdmin or its relevant licensors.

Your use of the platform does not transfer ownership of the ShedAdmin software or intellectual property to you.

You retain ownership of your own business information and content uploaded to the platform.

19. Feedback

If you provide suggestions, ideas or feedback about ShedAdmin, you agree that we may use that feedback to improve and develop the platform without owing you compensation.

We will not publicly identify your business as the source of feedback without your permission, unless otherwise agreed.

20. Third-party services

ShedAdmin may integrate with or rely on third-party services.

Those services may have their own terms, privacy policies and availability requirements.

We are not responsible for the operation, availability or policies of third-party services that are outside our reasonable control.

21. No guarantee of business results

ShedAdmin is a business management tool.

We do not guarantee that using ShedAdmin will result in increased sales, reduced costs, improved profitability, fewer administrative errors or any particular business outcome.

You remain responsible for your business decisions and processes.

23. Limitation of liability

To the maximum extent permitted by law, ShedAdmin will not be responsible for loss arising from matters outside our reasonable control, including failures of third-party systems, internet services, telecommunications networks or information supplied by you.

Nothing in these Terms excludes liability that cannot legally be excluded.

Any limitation of liability will apply only to the extent permitted by applicable law.

24. Changes to these Terms

As ShedAdmin develops during the beta program, these Terms may need to be updated.

Where changes are material, we will endeavour to provide reasonable notice before they take effect.

Your continued use of ShedAdmin after the effective date of updated Terms may constitute acceptance of the updated Terms where permitted by law.

25. Governing law

These Terms are governed by the laws applicable in Australia and the applicable state or territory in which ShedAdmin operates, unless otherwise agreed in writing.

Temporary terms notice

These Terms are intended as an initial set of terms for the ShedAdmin beta program. They should be reviewed and updated before the platform moves from beta into general commercial release, particularly once final subscription plans, payment terms, service levels, data hosting arrangements, integrations and cancellation processes have been established.
